PHILIP L.  MCCOOL focuses on federal and state securities law, mergers and acquisitions, and general corporate law. From 1980 to 1988, Phil was Chief Deputy Securities Commissioner for the State of Indiana. Phil was a member of the Indiana State Bar Association committee that drafted the Indiana Business Flexibility Act (the act creating limited liability companies). He was also a member of the Indiana Uniform Securities Act Advisory Committee, which drafted Indiana’s new Uniform Securities Act.

Phil's work includes assisting with the preparation of proxy statements and periodic filings under the Securities Exchange Act of 1934, for clients such as Thor Industries, Inc., Emmis Communications Corporation, Vectren Corporation, Reinhold Industries, Inc., Control Devices, Inc. and Excel Industries, Inc. He also advises on Section 13 and Section 16 and insider trading matters.

Phil also advises private equity funds on private offerings of securities and public and private companies on complex corporate governance matters and shareholder disputes.
