Tim provides advice to nonprofit and for-profit corporations, limited liability companies, and partnerships in general business matters, including:

  • Formation, reorganization, and governance matters.
  • Joint venture projects. 
  • Purchase and sale transactions (M&A).
  • Private placement securities offerings.
  • Project financing matters.
  • Real estate development and related transactions.
  • Intellectual property identification, development, protection, and commercialization.

Healthcare Business Sector
Much of Tim’s business practice is focused on the healthcare industry. His clients include single specialty and multispecialty physician practice organizations with annual revenues from $1 million to $1 billion. Tim advises clients on strategic and realignment matters with mission-related third parties such as physician group and health system reorganization and realignment of missions. His clients include academic medical centers, physician group practices and joint ventures; independent and assisted living facilities; laboratory services companies; home health care organizations; GPO’s and MSO’s; organ procurement organizations; and specialty hospitals and their respective boards on all aspects of governance, contracts, and regulatory compliance. Regulatory compliance is required to determine its implications for health care industry businesses, including:

  • Anti-kickback and Stark Laws.
  • False Claims Act.
  • OIG investigations, claims analysis, and negotiations.
  • HIPAA and HITECH.
  • Deal structuring, billing, coding, and documentation.
  • Contract negotiations with third-party payers.

Tim also has represented physician practice groups on mergers, sales, acquisitions, and governance matters. Current activity includes the sale of physician group practices to private equity ventures. He also represents MSO’s and GPO’s which provide services to the health care industry.

Tim helps physician practice groups develop compensation plans, third-party management services agreements, and physician succession planning and transition strategies. 

Real Estate-Related Services for Facility Development
Tim guides health care industry clients through the industry’s unique and complex regulations in their development of new facilities as single owners, or as a member of a joint venture. His projects include:

  • Medical office space and clinics.
  • Ambulatory surgery centers.
  • Imaging centers.
  • Dialysis centers.
  • Urgent care clinics.
  • Infusion therapy clinics.
  • Senior independent and assisted living projects.

Background
Tim has an AV (Preeminent) Peer Review Rating from LexisNexis/Martindale-Hubbell, the highest peer rating standard. He has also been recognized by Best Lawyers in America for his health care law practice. Tim has been listed as a member of the Who’s Who in Executives and Professionals and has received Certificates of Commendation from Tommy G. Thompson, former U.S. Secretary of Health and Human Services, for his work with organ transplant centers and organ procurement organizations.

Tim attended Wake Forest University and received his B.A. from The Ohio State University in 1971, where he lettered in Varsity Golf from 1968-1971 and earned his J.D. from Capital Law School in 1974, where he was a member of the Order of the Curia, Honor Council and the National Moot Court Team. He is a past contributing member of The Entrepreneurship Institute, an association of CEOs and presidents of small and medium-sized companies that receive guidance through its President’s Forum.

Tim served on the Columbus, Ohio-based Center for Science and Industry’s (COSI) Community Board of Advisors. He also served on the board of governors and as the President of The Golf Club, an original Pete Dye-designed top 30’s golf club. He is a member of The Ohio State University (OSU) President’s Club and the OSU Varsity “O” Association of former OSU varsity athletes.
