DiPuccio CWRU Lecture, “Real Estate Private Equity Joint Ventures – Key Terms” Available on Video
Dominic A. DiPuccio, chair of Taft’s Mergers and Acquisitions group, presented a high-level overview of material terms and conditions of joint ventures between commercial real estate sponsors and real estate private equity funds at the Case Western Reserve University School of Law (CWRU) virtual lecture on Thursday, Sept. 24 from 4:30-5:30 p.m.
His presentation addressed:
- Common market structures of joint ventures;
- Relative capital contributions between joint venture partners;
- Distribution waterfall provisions;
- Management provisions and fund oversight; and
- Default provisions and remedies.

DiPuccio focuses his practice on mergers and acquisitions and public and private equity and debt securities offerings. He represents entrepreneurs, emerging-growth and seasoned companies, investors, venture capital and private equity funds, and real estate sponsors in a wide variety of corporate finance transactions. He is also a member of Taft’s COVID-19 Task Force, COVID-19 SBA Task Force, and the COVID-19 Distressed Company Task Force, each created to assist and advise Taft’s clients and friends affected by the COVID-19 pandemic. DiPuccio is a 1990 graduate of CWRU Law School.
