Taft Acts as Legal Counsel to Komori-Chambon in Connection with Acquisition and CFIUS Clearance
Taft advised Komori-Chambon S.A.S. (Komori-Chambon), a company organized under the laws of France, in its acquisition of substantially all of the assets of Bernal, LLC, through its U.S. subsidiary, Komori Chambon USA Corporation (Komori USA). Taft also assisted Komori-Chambon in obtaining national security clearance from the Committee on Foreign Investment in the United States (CFIUS) for its investment. After conducting its review, CFIUS concluded that there were no unresolved national security concerns with respect to the transaction.
Komori-Chambon and Komori USA manufacture and sell web printing presses worldwide. Komori-Chambon is a fully owned subsidiary of Komori Corporation, a Japanese corporation that is publicly traded on the Tokyo Stock Exchange (6349:TYO). Bernal is a provider of high-speed rotary die-cutting technology and inline web printing and converting.
Taft’s deal team was led by Thibault Vieilledent and included Elijah Hammans and LeRoy Ricksy. The CFIUS team was led by Vieilledent and Taft partner Russell Menyhart, who leads the firm’s International Trade and CFIUS practice groups.
