He represents financial institutions and public and private company borrowers in connection with a broad spectrum of financing transactions, including single lender transactions, syndicated originations, restructurings, and recapitalizations. Wynne has extensive experience in representing clients in mergers, acquisitions, management buyouts, and corporate dispositions. In addition, he represents private and public company clients in connection with the structuring and negotiation of economic business relationships, including strategic partnerships, joint ventures, distribution agreements, and supply and requirements contracts.
Willet joins as a partner in the firm’s Health and Life Sciences group. An experienced transactional attorney, he focuses his practice on advising nonprofit and for-profit health systems, hospitals, medical groups, and other health care entities on pursuing their strategic growth initiatives. In his work with health care entities across the country, he has both led and been a key contributor to a wide array of complex transactions, including acquisitions, consolidations, joint ventures, and other forms of strategic affiliations. In addition to his transactional work, Willett advises health care companies on regulatory compliance matters, corporate governance issues, various commercial arrangements, and other day-to-day legal issues. He also has significant experience advising private equity–sponsored health care management service organizations, medical groups, and surgery centers in structuring and negotiating platform and add-on transactions.
Marino is an associate practicing corporate law with a focus on M&A. His experience includes assisting and advising clients regarding mergers and acquisitions, corporate formation and organizational documents, contractual obligations, confidentiality agreements, and debt financing. Prior to joining Taft, Marino was an M&A associate with Skadden, Arps, Slate, Meagher & Flom LLP in New York City.
“We are pleased to add these talented attorneys and their experience adds to our existing sophisticated corporate and health and life sciences practices,” said Brad Schwer, Taft Indianapolis partner-in-charge. “This further strengthens our overall presence in Indianapolis as we continue to aggressively grow our team to better serve our clients.”
