Summary
Alan focuses his practice on securities, corporate finance and capital markets transactions, mergers and acquisitions, and general corporate and commercial affairs. He represents public and private companies in various types of registered and unregistered financing transactions, including IPOs and underwritten follow-on offerings, registered direct offerings, PIPE (private investment in public equity) financings, rights offerings, reverse merger transactions, venture capital investments, retail private placements. He also advises investment banks that assist companies in raising capital.
Alan advises public companies on SEC regulatory compliance, corporate governance, and executive compensation matters and also represents both purchasers and sellers in merger and acquisition transactions.
