Summary

Dan helps clients navigate the complexities of public finance transactions and public-private partnerships. He has served as bond counsel, disclosure counsel, underwriter’s counsel, borrower’s counsel, issuer’s counsel, and special tax counsel on various tax-exempt and taxable financings. He also provides advice to tax-exempt nonprofits regarding formation and other corporate matters, board policies and governance, and various financial tools including tax-exempt financing, endowment fund restructuring, and program-related investments (PRIs).

Dan represents governmental issuers and conduit borrowers in conduit revenue financings for the benefit of 501(c)(3) nonprofits and other organizations, including in the areas of housing, healthcare, higher education, senior living, assisted living, and private or charter school education. He also represents cities, counties, public utilities, school districts, and other municipal issuers in the issuance of traditional general obligation and revenue debt.

Dan advises clients regarding state and federal securities laws applicable to the municipal bond market as disclosure counsel and underwriter’s counsel. He counsels issuers, borrowers, underwriters, and direct lenders regarding primary and continuing disclosure matters. His work has also involved drafting offering documents and disclosure agreements, developing primary and continuing disclosure policies, reviewing past compliance with disclosure obligations, and providing compliance training to clients.

Prior to practicing law, Dan worked in the nonprofit sector as a development coordinator for a community development organization and in program services for housing, arts-education, and legal-services organizations. He studied dispute resolution and nonprofit management as a graduate fellow in the Trinity Fellows Program at Marquette University. He obtained his J.D from the University of Iowa College of Law, Order of the Coif, where he served as a note and comment editor for the Iowa Law Review
