Summary

Dave draws on his experience as a deal lawyer and former Big Four accountant to advise companies, business owners, and investors on business and tax matters arising during key events in the life cycle of a business, including fund formation, capital raising transactions, and mergers and acquisitions. Dave’s holistic approach to M&A, capital raising, tax and transactional risk, coupled with tax-savviness rarely found in deal counsel, has led to representation of institutional buyers and family-owned business looking to sell; entrepreneurs, their growth companies and venture capitalists; renewable energy developers and their investors; and both publicly traded and privately held real estate investment trusts (REITs).

Dave serves as co-leader of the firm’s Transactional Risk Practice Group, where he serves as trusted advisor to underwriters placing transactional risk products including representations and warranties insurance, tax insurance and contingent risk insurance. Dave also serves as co-leader the Tax Credit Finance Practice Group, where he assists renewable energy sponsors and investors engaging in structured financed transactions, including tax equity financing, tax credit transfer transactions and application-based federal renewable energy incentives.
