Henry W. Longley

Summary

Henry is a business litigator in Taft’s Litigation group and represents clients in complex commercial disputes. Henry’s practice includes extensive experience litigating issues arising out of corporate mergers and acquisitions, shareholder oppression and alternative entity disputes, contract disputes, and class actions.

Henry previously worked as an associate in the Delaware office of an Am Law 100 law firm. He also served as a law clerk to Justice Gary F. Traynor of the Delaware Supreme Court. Henry earned his J.D., cum laude, from Temple University James E. Beasley School of Law and his bachelor’s degree from the College of William & Mary.

  • Represented the sellers in M&A litigation, securing the dismissal of one of the sellers and pleading a breach-of-contract counterclaim under the merger agreement’s earnout provision.
  • Represented a former executive in an action seeking advancement of legal fees and expenses, resulting in a favorable global settlement.
  • Represented the lead plaintiff in a securities fraud suit that settled for $40 million.
  • Represented the lead plaintiff in a securities fraud suit that settled for $12.5 million.
