James R. Waggoner

James’ practice focuses on a broad range of corporate matters including corporate structure and governance, mergers and acquisitions, corporate finance, and general commercial transactions. He advises on complex business matters for a diverse client base, which ranges from small privately held companies to large publicly traded companies. James frequently counsels clients on matters involving entity formation, limited liability company and buy-sell agreements, policies and procedures, labor and employment, and business succession planning.

James has extensive transactional experience across a variety of industries, representing buyers and sellers involving asset and stock transactions, as well as mergers, acquisitions, divestitures, consolidations, and other business combinations. He guides his clients through the entire transaction process while assisting in identifying, evaluating, and understanding the many legal implications.

• Represented The Maggiore Group, LLC, a leading restaurant group based in Arizona, with the sale of its Hash Kitchen and Sicilian Butcher brands to Mercato Partners.
• Represented Advent Home Medical, Inc., an in-home respiratory care provider, with its sale of equity to New Harbor Capital.
• Represented Plymouth Technology, Inc., a leading provider of industrial water and wastewater treatment chemicals, equipment, and consulting services, with its sale of assets to a member of the Vincit Group.
• Represented True North Asphalt Services, Inc., a Midwest-based paving company, with its sale of assets to Stonehenge Partners.
• Represented Prudential Security, Inc., an industry-leading provider of security solutions, with its sale of assets to Quad-C Management.
