Joanne’s practice includes a wide variety of corporate and transactional matters.

In recent years, Joanne has led a corporate team in structuring and documenting from the corporate side numerous carbon oxide capture 45Q tax credit investments for large investors. This has included the overall transaction agreement for such investments, partnership agreements between the investors and the operators of the industrial facilities that generate the 45Q tax credits, and numerous related operational agreements such as management agreements, carbon oxide purchase agreements, and carbon oxide sequestration agreements.

Joanne also has extensive experience forming and structuring real estate development partnerships and limited liability companies, including negotiating and drafting the relevant partnership and limited liability company agreements on behalf of the general partner and forming related entities, including employee-owned entities that invest in the development entities.
