Summary

Kathleen counsels public company leaders on mergers and acquisitions, financing transactions, public and private securities offerings, and public company corporate governance, compliance, and disclosure matters, including executive compensation disclosures. Kathleen provides counsel regarding a range of public company corporate governance matters, including, among others, committee function and board best practices, navigating sustainability and social and governance considerations, insider trading compliance, succession planning, and leadership transitions.

Kathleen seeks to empathize with her clients to provide business-minded legal advice. Her ability to consider situations from clients’ perspectives is enhanced by her experiences, including working as an investment banker with Credit Suisse’s Private Fund Group in London and participating in secondments at a Fortune 500 company where she worked with its business and legal teams through a reorganization and ultimate sale of the corporate structure; at a publicly traded financial services business; and at an employee-owned visual merchandising company.

Kathleen earned her J.D. from Georgetown University Law Center, where she was a contributor to the Georgetown International Environmental Law Review. She earned her bachelor’s degree from Duke University with a double major in Public Policy Studies and Arabic Language and Culture.

Kathleen also studied at Qatar University and the American University in Cairo and speaks several dialects of Arabic language. She also speaks Spanish.
