He represents businesses at various development stages raise capital through private placements of equity, debt and convertible debt securities.

Private Equity, Mezzanine Fund Organization
Philip assists clients with the formation of private equity funds and mezzanine debt funds, drafting and negotiation of partnership and limited liability company agreements, and the development of private placement offering materials and qualification of securities offerings under federal and state law.
 
Business Counseling
He serves in the role of general counsel for several clients, including entities formed or acquired by the private equity funds he represents. As general counsel, Philip advises clients on a wide range of matters, including corporate governance, management incentive programs and other compensation issues, contract formation, business disputes, debt and equity restructuring.

Philip is a former Certified Public Accountant (CPA). Prior to attending law school, Philip was a Senior Manager in the audit division of Ernst & Young LLP.
