Automotive
Automotive is a highly competitive, complex industry involving a diverse set of both manufacturing and service businesses. Our Automotive industry group consists of an interdisciplinary team of attorneys who understand the opportunities and challenges facing original equipment manufacturers (OEMs), suppliers, and dealerships. With in-depth industry knowledge and experience, we help clients resolve legal issues affecting both day-to-day and long-term operations to keep their businesses running smoothly. Our extensive collection of legal services covers complex matters including acquisitions, transactions, financing, disputes, troubled supplier workouts, and more.
Our experienced team includes several attorneys who have first-hand knowledge of the inner workings of the industry through their prior in-house experience and from being business owners themselves.
OEMs
We represent the manufacturing, distribution, and general operations of automotive OEMs in the distressed supplier arena as well as for contract and litigation issues. We have worked with the financial services groups of these OEMs on matters involving the defense of claims relating to vehicle titling and lemon law and the prosecution of claims for breach of loan and lease agreements. We have represented a variety of automotive manufacturers, as a customer of a debtor, as a debtor, or on behalf of a lender or creditors’ committee in distressed supplier cases and have a proven track record of success in providing aggressive representation in litigation when attempts at dispute resolution have been exhausted.
Suppliers
We represent suppliers in every aspect of their businesses: drafting and negotiating a variety of contracts and agreements; buying and selling of businesses and divisions; structuring mergers and acquisitions; handling all SEC filings; negotiating loan agreements, both with US and overseas banks; maintaining financial records; during distressed workout scenarios; preparing corporate documents; and qualifying suppliers to operate in various states. We also act as counsel to management and board members and handle litigation, including antitrust work, related to defending or pursuing claims on a supplier’s behalf.
Dealerships
We represent dealership owners, guiding them on a variety of business and legal issues involving operations, disputes, and compliance matters. On any given day, you may be dealing with financing and lender issues, buy and sell transactions, trying to resolve a vendor or consumer dispute, facing an employment discrimination claim, or adhering to regulations and requirements. It can feel overwhelming, but we can help as uncertainties and conflicts arise. When it comes to disputes, our most successful clients turn to us at the start of a dispute to ensure it is addressed quickly and, many times, resolved without litigation. If litigation is necessary, we position our clients for success through a strong litigation strategy.
